Growcado Shopify App Terms of Service

These Terms of Service govern your access to and use of the Growcado Shopify app, website at growcado.ai, and any related products or services that refer or link to these Terms (collectively, the "Services"), operated by Growcado Inc. By installing or using the App, you agree to be bound by these Terms. If you do not agree with all of these Terms, you must discontinue use immediately.

These Terms apply to merchants using Growcado via the Shopify App Store. If you are using Growcado outside of Shopify through a direct arrangement with us, your use is governed by a separate agreement entered into directly with Growcado Inc. 1. Scope of services

Growcado provides a personalisation platform that allows merchants to configure and deliver tailored content to their store visitors based on real-time data signals such as customer attributes, cart contents, products, location, and UTM parameters.

Growcado provides configuration and support solely within the Growcado platform. Growcado does not access, modify, or take responsibility for your Shopify store theme, third-party apps, or any systems outside of the Growcado platform beyond what is necessary to deliver the Services.

The scope and limits of your subscription, including any usage limits, depend on the plan you select through the Shopify Billing API. Exceeding plan limits may affect platform performance and may require an upgrade.

2. Billing and payment

All billing for the App is handled exclusively through the Shopify Billing API or Shopify Managed Pricing. By installing the App and selecting a paid plan, you authorise Shopify to charge you according to the plan terms displayed in the Shopify App Store and within the App.

Subscription fees are billed in advance according to your selected plan. All fees are non-refundable except as required by law or by Shopify's billing policies. All payments are in US dollars. We may change prices at any time and will communicate any price changes to you in accordance with applicable law.

If you uninstall the App or downgrade your plan, your subscription will end or change in accordance with Shopify's billing rules. Growcado does not control billing cycles, refunds, or pro-rated charges, all of which are managed by Shopify.

Free trial

We offer a 30-day free trial to new users who register with the Services. At the end of the free trial, the account will be charged according to the user's chosen subscription unless cancelled before the trial period ends.

Cancellation

You may cancel your subscription at any time by uninstalling the App from your Shopify store or by managing your subscription through Shopify. Your cancellation will take effect at the end of the current paid term. All purchases are non-refundable. 3. Taxes

All fees are exclusive of applicable taxes, duties, or levies, which are collected and remitted in accordance with Shopify's billing system or your local jurisdiction's requirements.

4. Platform and dependencies

Growcado operates as an app on the Shopify platform and reserves the right to update, modify, or migrate the App at any time with reasonable prior notice.

Growcado is not responsible for Shopify's availability, performance, or any changes Shopify makes that affect how the App functions. Growcado's service depends on Shopify's APIs and infrastructure, and any disruption to Shopify may affect the App.

5. User eligibility

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your use of the Services would be subject to such laws, you may not use the Services.

By using the Services, you represent and warrant that:

You have the legal capacity to agree to these Terms
You are not a minor in the jurisdiction in which you reside
You will not access the Services through automated or non-human means, including bots or scripts
You will not use the Services for any illegal or unauthorised purpose
Your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your access and refuse any current or future use of the Services.

6. Intellectual property

Growcado retains all right, title, and interest in and to the Growcado platform, software, source code, databases, functionality, designs, and any improvements or enhancements made to it, including all associated trademarks, service marks, and logos.

You retain ownership of your own data, including your customer data, store data, and any content you create within the App.

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes. No part of the Services may be copied, reproduced, republished, transmitted, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

Any breach of these intellectual property rights will constitute a material breach of these Terms and your right to use the Services will terminate immediately.

7. Data processing

You are the data controller and Growcado acts as a data processor to the extent applicable for personal data processed through the App. Data processing activities are further governed by Growcado's Data Processing Addendum (DPA), available at growcado.io/dpa, which forms part of these Terms.

You are responsible for obtaining all necessary consents and providing all required notices to your store visitors in connection with your use of the App, including for cookies, tracking technologies, and personalised content displayed on your storefront.

8. Acceptable use

You agree not to use the Services for any unlawful, harmful, or abusive purposes. As a user of the Services, you agree not to:

Systematically retrieve data from the Services to create or compile a collection, database, or directory without our written permission
Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information
Circumvent, disable, or otherwise interfere with security-related features of the Services
Use the Services in a manner inconsistent with any applicable laws or regulations
Upload or transmit viruses, Trojan horses, or other malicious material that interferes with the Services
Engage in any automated use of the system, including scripts, robots, data mining, or similar extraction tools
Attempt to impersonate another user or person
Decipher, decompile, disassemble, or reverse engineer any of the software comprising the Services
Harass, annoy, intimidate, or threaten any of our employees or agents
Use the Services as part of any effort to compete with us or for any unauthorised revenue-generating purpose

Growcado reserves the right to suspend or terminate your access to the Services at our reasonable discretion in cases of security risks, misuse, or legal compliance issues.

9. Service availability and warranty disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice.

Growcado does not guarantee any specific results from use of the Services, including but not limited to increased conversions, engagement, sales, or revenue.

10. User data and backups

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

Data retention following termination is governed by our Privacy Policy and DPA.

11. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time without prior notice.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROWCADO'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GROWCADO VIA SHOPIFY IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL GROWCADO BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT FOR LIABILITY ARISING FROM FRAUD OR WILFUL MISCONDUCT. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Indemnity

You agree to defend, indemnify, and hold harmless Growcado Inc., its officers, directors, employees, subsidiaries, affiliates, agents, and partners from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, arising out of or relating to:

Your use of the Services
Breach of these Terms
Any breach of your representations and warranties set forth in these Terms
Your violation of the rights of a third party, including intellectual property rights
Any violation of applicable law

Notwithstanding the foregoing, we reserve the right, at your expense, to assume exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

14. Confidentiality

Each party agrees to keep the other party's non-public information confidential and not to disclose it to third parties without prior written consent, except as required by law or by Shopify's platform requirements.

15. Electronic communications and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

16. Termination

You may terminate these Terms at any time by uninstalling the App from your Shopify store. Uninstalling the App ends your subscription according to Shopify's billing policies.

Growcado may terminate or suspend your access to the Services at our reasonable discretion in cases of breach of these Terms, misuse, security risks, non-payment via Shopify, or where required by applicable law or platform requirements.

If we terminate or suspend your access for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

17. Early access and new features

Access to new, beta, or unreleased features is provided at Growcado's sole discretion and does not constitute a commitment to continued or full access. Beta features may be modified, limited, or discontinued without notice.

18. Changes to these Terms

Growcado may update these Terms from time to time. If we make material changes, we will notify you via the App, by email at info@growcado.ai, or through the Shopify App Store listing before the change takes effect. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

19. California users and residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

20. Entire agreement

These Terms, together with the Privacy Policy and DPA referenced herein, constitute the entire agreement between you and Growcado relating to your use of the Services, and supersede all prior agreements, communications, and understandings on the subject. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

21. Non-assignment

You may not assign or transfer your rights under these Terms without Growcado's prior written consent. Growcado may assign these Terms to a successor or affiliate without restriction.

22. Severability

If any provision or part of a provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

23. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

24. Privacy

By using the Services, you agree to Growcado's Privacy Policy, available at growcado.ai/app-privacy-policy. Please be advised the Services are hosted in the European Union. If you access the Services from any other region of the world with laws governing personal data collection, use, or disclosure that differ from EU law, then through your continued use of the Services, you are transferring your data to the EU and you expressly consent to have your data transferred to and processed there.
